These Terms and Conditions (these "Terms") govern your access to and use of civicrentals.com and any other website we operate that links to these Terms (the "Site"). The Site is operated by Civic Rentals LLC, a Delaware limited liability company ("Civic Rentals," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. What These Terms Cover

These Terms cover the Site only. If your organization has a separate written agreement with us for access to the Civic Rentals platform or any of our products or services, that agreement governs that access, and these Terms do not modify it. If there is a conflict between these Terms and such an agreement with respect to the platform or our services, that agreement controls.

2. Who May Use the Site

You must be at least eighteen (18) years old to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

3. The Site Is Informational

The Site describes our products and services in general terms. Nothing on the Site is an offer, a quotation, a commitment to provide any product or service, or a promise that any feature described will be available. Product descriptions, availability, and pricing may change at any time without notice. No contract for services is formed by your use of the Site or by your submission of any form.

4. Demo Requests, Contact Forms, and Communications

(a) The Site allows you to request a demonstration or contact us. You agree that the information you submit is accurate and that you have the authority to submit it.

(b) Do not submit through the Site any information that is confidential, sensitive, or restricted, including nonpublic government records, investigative material, personal information about any third party, financial account numbers, government identification numbers, or health information. We are not responsible for information you choose to send us.

(c) By submitting a form, you consent to receive communications from us by email at the address you provide, in response to your request and about our products and services. You may opt out of promotional email at any time using the unsubscribe link in any message or by contacting us.

(d) If you provide a telephone number, you consent to be contacted at that number about your request, including by telephone call and by text message, using automated or prerecorded means. Message and data rates may apply. Consent to receive calls or texts is not a condition of any purchase. You may withdraw this consent at any time by telling us, or by replying STOP to any text message.

(e) We handle information you submit as described in our Privacy Policy.

5. Intellectual Property

The Site and its contents, including text, graphics, layout, design, logos, and software, are owned by Civic Rentals or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to access and view the Site for your own informational and evaluation purposes. All rights not expressly granted are reserved. Our name, logo, and product names are our trademarks and may not be used without our prior written permission.

6. Prohibited Conduct

You will not, and will not permit any other person to:

(a) use any robot, spider, scraper, crawler, or other automated means to access, monitor, index, copy, or extract any part of the Site or its contents;

(b) use any content obtained from the Site to develop, train, fine tune, evaluate, or improve any machine learning model, artificial intelligence system, dataset, or competing product or service;

(c) copy, reproduce, republish, frame, mirror, sell, or otherwise commercially exploit any part of the Site;

(d) reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site;

(e) probe, scan, or test the vulnerability of the Site or any related system, or breach or circumvent any security or authentication measure;

(f) access any area of the Site that is not intended to be publicly available;

(g) interfere with or disrupt the Site, impose an unreasonable load on our infrastructure, or transmit any virus, malware, or other harmful code;

(h) misrepresent your identity or affiliation, including by submitting a form under a false name or on behalf of an organization you are not authorized to represent;

(i) use the Site to harass, target, or attempt to identify or locate any individual; or

(j) use the Site for any unlawful purpose or in violation of these Terms.

7. Feedback

If you send us comments, suggestions, or ideas about the Site or our products, you grant us a perpetual, irrevocable, worldwide, royalty free, sublicensable license to use them for any purpose without restriction, attribution, or compensation. We are under no obligation to keep any feedback confidential.

8. Third Party Sites

The Site may contain links to websites and services we do not control, including social media profiles. Those links are provided for convenience. We are not responsible for the content, policies, or practices of any third party site, and a link does not imply endorsement or affiliation.

9. No Professional Advice

Civic Rentals is not a law firm, an accounting firm, or a government agency. Nothing on the Site is legal, tax, accounting, or other professional advice, and nothing on the Site should be relied on as a determination that any property, listing, person, or activity complies with or violates any law or ordinance. Please review our Disclaimers page, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT ON IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CIVIC RENTALS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, AND STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR ANY SERVER IS FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CIVIC RENTALS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW CERTAIN OF THESE LIMITATIONS, AND IN THOSE JURISDICTIONS OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

12. Indemnification

You will indemnify, defend, and hold harmless Civic Rentals and its members, managers, officers, employees, contractors, and agents from and against any claim, demand, loss, liability, damage, penalty, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your violation of these Terms, your violation of any law or the rights of any third party, or any information you submit through the Site.

13. Time Limit on Claims

Any claim arising out of or relating to the Site or these Terms must be brought within one (1) year after the claim arises, or it is permanently barred, unless a shorter period applies by law.

14. Informal Resolution and Jury Waiver

Before filing any claim, you agree to contact us at legal@civicrentals.com with a written description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum. If you are a government entity that cannot lawfully agree to this Section, this Section does not apply to you and each party reserves its rights.

16. Suspension and Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 5, 7, and 9 through 18 survive any termination.

17. Changes to These Terms

We may change these Terms at any time. The current version is always posted on the Site with the date it was last updated. Changes take effect when posted. Your continued use of the Site after a change means you accept the revised Terms. Please review these Terms periodically.

18. General

(a) Entire Agreement. These Terms, together with the Privacy Policy and the Disclaimers page, are the entire agreement between you and us regarding the Site and supersede any prior understanding on that subject.

(b) Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

(c) No Waiver. Our failure to enforce any provision is not a waiver of it.

(d) Assignment. You may not assign these Terms. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, reorganization, or sale of all or substantially all of our assets or equity.

(e) No Third Party Beneficiaries. These Terms do not create any right in favor of any person who is not a party to them.

(f) Electronic Communications. You consent to receive communications from us electronically, and you agree that electronic notices, agreements, and records satisfy any requirement that they be in writing.

(g) Headings. Headings are for convenience only and do not affect interpretation.
